Haunt Passport Platform Terms of Service

These Terms of Service ("Terms") constitute a legal agreement between you or the entity you represent ("Venue," "you," or "your") and cogniFX Technologies, Inc. ("cogniFX," "we," "us," or "our") governing your use of the Haunt Passport ticketing platform ("Platform").

By creating an account, connecting a Stripe account, or using any feature of the Platform, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

Payment processing services for Venues on Haunt Passport are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement").

By agreeing to these Terms or continuing to operate as a Venue on Haunt Passport, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time.

As a condition of cogniFX enabling payment processing through Stripe, you agree to:

• Provide cogniFX accurate and complete information about you and your business
• Authorize cogniFX to share that information and transaction information related to your use of Stripe's payment processing services with Stripe
• Maintain accurate and current account information at all times

You acknowledge that Stripe — not cogniFX — is responsible for payment processing, fund settlement, and identity verification. cogniFX is not liable for any acts or omissions by Stripe.

cogniFX charges a per-ticket platform fee on transactions processed through the Platform. The current fee schedule is disclosed during account setup and may be updated with notice to active Venues. Fees are deducted from each transaction at the time of sale.

Stripe's own processing fees are separate from cogniFX platform fees and are governed by your Stripe Connected Account Agreement.

As a Venue, you are solely responsible for:

• Accurately describing your events, including event name, date, time, location, ticket types, and pricing
• Publishing your own Terms & Conditions, including cancellation policy, refund policy, and contact information, via the Platform's Terms & Conditions editor. These must comply with Stripe's website checklist requirements
• Honoring your stated policies with respect to refunds, cancellations, and customer service
• Complying with all applicable laws governing your events, including age restrictions, safety regulations, liquor licensing, and any local event permitting requirements
• Customer service for your Ticket Buyers, including responding to inquiries, processing refunds per your stated policy, and resolving disputes
• Tax obligations arising from ticket sales, including any applicable sales tax collection and remittance

cogniFX is not a party to any transaction between you and your Ticket Buyers and assumes no liability for disputes, chargebacks, or claims arising from your events or your customer relationships.

You may not use the Platform to:

• Sell tickets to events that violate applicable laws or regulations
• Misrepresent the nature, date, location, or capacity of an event
• Process fraudulent transactions or facilitate card testing
• Use another Venue's account credentials
• Circumvent Platform fee structures
• Violate Stripe's Acceptable Use Policy

cogniFX reserves the right to suspend or terminate any Venue account found to be in violation of these prohibitions.

cogniFX will collect, use, and share Venue data and Ticket Buyer data as described in the cogniFX Privacy Policy. By using the Platform, you acknowledge and agree to those practices.

You agree to maintain your own privacy policy disclosing how you collect and use Ticket Buyer data obtained through the Platform. You must not use Ticket Buyer data obtained through the Platform for purposes unrelated to your events and customer service obligations.

You authorize cogniFX to access and process data from your connected Stripe account as necessary to provide Platform services, including analytics, reporting, and payout management.

The Haunt Passport Platform, including its software, design, and features, is owned by cogniFX Technologies, Inc. Your use of the Platform does not grant you any ownership interest in it.

You retain ownership of your event content, branding, and materials uploaded to the Platform. By uploading content, you grant cogniFX a limited license to display that content on your Venue's storefront for the purpose of facilitating ticket sales.

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. COGNIFX DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES. YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNIFX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING LOST REVENUE, LOST PROFITS, OR LOSS OF DATA, EVEN IF COGNIFX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

COGNIFX'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL PLATFORM FEES PAID BY YOU IN THE NINETY (90) DAYS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless cogniFX Technologies, Inc. and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Platform
• Your events and your obligations to Ticket Buyers
• Your violation of these Terms
• Your violation of any applicable law or third-party right

These Terms remain in effect for as long as you maintain an active account on the Platform. Either party may terminate the relationship at any time. Upon termination, your access to the Platform will be suspended and your Stripe Connect relationship will be affected in accordance with the Stripe Connected Account Agreement. Accrued but unpaid fees remain due upon termination.

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of New York.

cogniFX may update these Terms from time to time. Material changes will be communicated to active Venues by email with at least 14 days' notice. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms.
